Truefolio(the “Company,” “we,” “us,” or “our”) provides the online social investing platform known as Truefolio(the “Website”, the “App”, or the “Platform”), which you can access at truefolio.app or by downloading from the Google Play Store or Apple App Store.

Please note that your use of the Platform is subject to these Terms. These Terms constitute a legally binding agreement made between you and Truefolio concerning your access to and use of the Platform. DETAILS CAN BE FOUND IN CLAUSE 7.

You must read these Terms carefully in their entirety before creating a Truefolio account or using the Website or App. By accessing the Platform, you confirm that you have read and agree to be bound by these Terms, which include and are inseparably linked to our Privacy Policy and other supplemental terms and conditions or documents that we may post on the Website or App. We reserve the right to supplement or update these Terms from time to time. Any questions regarding the Terms or Privacy Policy should be directed to support@truefolio.app.

1. Truefolio Services: No Investment Advice; Informational Purposes Only

Truefolio provides a social networking platform for educational and entertainment purposes only.

The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents.

This Platform includes content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

  • Not a Financial Advisor: We are not a registered investment advisor, broker-dealer, or financial planner. Use of the Platform does not create a fiduciary or advisory relationship.

  • No Transactional Capability: The Platform is not capable of executing trades, initiating transfers, or accessing your funds. We do not have the technical ability to move money or modify your brokerage accounts in any way.
  • Security & Credentials: You will be prompted to log in to your financial institution via Plaid. Truefolio never sees, accesses, or stores your brokerage username or password.
  • Data Refresh:We pull data periodically to update your “Social Performance.” We are not responsible for delays in data refreshing or discrepancies between the Platform and your actual brokerage statement.

  • Hypothetical Results:User rankings, % gains, and performance metrics are generated algorithmically. These are “model” results and do not account for actual trading costs, taxes, or market “slippage.” Actual results would be lower.
  • No Guarantee: Past performance of any user or strategy is not a guarantee of future success.
  • No Endorsement:A high ranking or “Top Performer” status is a mathematical calculation and does not constitute an endorsement by Truefolio.

4. Third-Party Data and Limitations

  • Data Sources: Financial data and analyst ratings are provided by third-party APIs, including Marketaux, Twelve Data, Financial Modeling Prep (FMP).

Copyright Infringement

7. Mandatory Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

  • Dispute Resolution: You agree that any dispute arising from your use of the Platform will be settled through binding individual arbitration rather than in court.
  • Class Action Waiver: You waive any right to participate in a class-action lawsuit or class-wide arbitration. You may only bring claims against Truefolio in your individual capacity. PLEASE READ THIS SECTION CAREFULLY AS IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS ON AN INDIVIDUAL BASIS AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM TRUEFOLIO. THIS SECTION WILL BE CONSTRUED UNDER AND BE SUBJECT TO THE FEDERAL ARBITRATION ACT, NOTWITHSTANDING ANY OTHER CHOICE OF LAW SET OUT IN THESE TERMS.

Arbitration procedures are generally more efficient, but also simpler and less formal than a lawsuit in court. Arbitration uses a neutral and impartial arbitrator instead of a judge or jury. The arbitrator's decisions are as enforceable as any court order and are subject to very limited review by a court. However, an arbitrator can award the same damages and relief on an individual basis that a court can award to an individual. The arbitrator's decision will be final and binding. Other rights you or we would have in court may also not be available in arbitration.

Complaint Resolution

We want to address any concerns you may have without needing a formal legal case. Before initiating arbitration against Truefolio, you agree to try to resolve any complaint by contacting our Customer Support Team at support@truefolio.app. If your dispute is not resolved within thirty (30) days of your first email to customer service, you may initiate dispute resolution as set out in this section.

Truefolio agrees that it will take all reasonable efforts to contact you and resolve any claim it may possess informally prior to taking any formal action.

Arbitration

By agreeing to these Terms, you and Truefolio each agree that any and all past, present and future disputes, claims or causes of action between you and Truefolio which arise out of, or are related to, these Terms, the formation of these Terms, the validity or scope of these Terms, including this section, your participation or other access to or use of the Platform, or any other dispute concerning the breach, enforcement, construction, validity, interpretation, enforceability, or arbitrability of these Terms or this Agreement between you and Truefolio (collectively, “Disputes”), shall be resolved exclusively and finally by binding arbitration governed by the procedure set out below.

Opting Out of the Agreement to Arbitrate

YOU HAVE THE RIGHT TO OPT-OUT OF THE BINDING ARBITRATION PROVISIONS SET FORTH ABOVE WITHIN THIRTY (30) DAYS FROM THE DATE THAT YOU FIRST CONSENT TO THIS AGREEMENT.

To exercise your right to opt out, you must contact support@truefolio.app with the subject line ARBITRATION OPT OUT within 30 days of first accepting these Terms. Your email must include your first and last name and a statement that you decline this arbitration clause. By opting out of this clause, you will not be precluded from using the Platform, but neither you nor Truefolio will be able to invoke the mutual agreement to individually arbitrate to resolve Disputes.

NOTICE OF DECISION TO OPT OUT OF THIS ARBITRATION AGREEMENT SENT AFTER THE THIRTY-DAY PERIOD SHALL NOT BE EFFECTIVE AND USERS MUST PURSUE THEIR DISPUTE THROUGH BINDING ARBITRATION OR SMALL CLAIMS COURT.

Arbitration Procedures and Fees

You and Truefolio agree that:

  • This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this Arbitration Agreement. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes, or successor rules, which are in effect at the time arbitration is sought (the AAA Rules). The AAA Rules are available at www.adr.org.
  • Arbitration will proceed on an individual basis.
  • Arbitration will be handled by a sole arbitrator in accordance with the AAA Rules.
  • The AAA rules will govern payment of all arbitration fees.
  • The AAA shall retain discretion as to the interpretation and application of the AAA Rules.
  • Except as otherwise may be required by the AAA Rules, the arbitration will be held in Wilmington, USA; in any other location mutually agreed upon by the parties; or at your election, conducted via telephone or other remote electronic means.
  • All parties participating in the arbitration process have the right, at their own expense, to be represented by a spokesperson of their own choosing.
  • The arbitrator's decision shall be final and binding. Any award of the arbitrator may be entered as a judgment in any Court having jurisdiction.

Waiver of Class Action and Collective Arbitration

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHETHER THE DISPUTE IS HEARD IN ARBITRATION OR IN COURT, NEITHER YOU NOR TRUEFOLIO WILL BE ENTITLED TO CONSOLIDATE, JOIN OR COORDINATE DISPUTES WITH OR INVOLVING OTHER INDIVIDUALS OR ENTITIES, OR PARTICIPATE IN ANY COLLECTIVE ARBITRATION OR ARBITRATE OR LITIGATE ANY DISPUTE IN A REPRESENTATIVE CAPACITY, INCLUDING AS A REPRESENTATIVE MEMBER OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. IN CONNECTION WITH ANY DISPUTE, ALL SUCH RIGHTS ARE EXPRESSLY AND UNCONDITIONALLY WAIVED.

Confidentiality

Except as may be required by law, neither party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without prior written consent of both parties.

8. Indemnification

You agree to indemnify and hold harmless Truefolio and its partners (including Plaid and FMP) from any claims, damages, or losses (including legal fees) arising from your violation of these Terms, your trading activity, or content you post. You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

9. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED $50.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the City of Wilmington and County of New Castle, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13. Entire Agreement

The Terms constitute the sole and entire agreement between you and Truefolio regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
